Client Work Product

- Upon full payment, you receive full ownership of all custom code and deliverables we create for you
- We retain ownership of our internal tools, methodologies, frameworks, and general knowledge
- We may create anonymized case studies with your written consent
Service Terms
Development Engagements
- Specific terms will be outlined in separate statements of work or project agreements
- Payment terms, project scope, timeline, and deliverables will be clearly defined before work begins
- Changes to scope require written agreement from both parties
- We reserve the right to pause or terminate engagements for non-payment
Free Services
- Discovery calls and initial consultations are provided at no cost with no obligation
- Technical audits are provided "as-is" and are limited to general assessment and recommendations
- No guarantee of specific outcomes from free services
Payment and Billing
- Project pricing is fixed and agreed upon before work begins, unless otherwise specified
- Invoices are due within 15 days unless otherwise specified in the project agreement
- Late payments may incur interest charges of 1.5% per month
- Disputed charges must be reported within 15 days of invoice date
- Refunds are subject to the terms of specific project agreements
Confidentiality
We respect the confidentiality of your information:
- We will not disclose confidential business information, source code, or proprietary data without your explicit consent
- Non-disclosure agreements are available upon request and standard for all engagements
- We may use anonymized, non-identifying data for case studies and marketing with your written consent
- Confidentiality obligations survive termination of our working relationship

- For non-payment of fees beyond the cure period
- At our discretion with 30 days' written notice
Effect of Termination
- Outstanding payments remain due and payable
- Confidentiality obligations survive termination
- You receive all completed work product upon full payment
- You must cease using our proprietary materials, tools, and methodologies
Governing Law
These Terms are governed by and construed in accordance with the laws of India, specifically the State of Karnataka, without regard to conflict of law principles.
Dispute Resolution
Informal Resolution

Formal Disputes
Any disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India, except for intellectual property disputes which may be brought in any court of competent jurisdiction.

We may update these Terms periodically. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.
Severability
